1. Acceptance of Terms

By accessing and using the services of HICIM - Human Inclusion Consultancy Impact Management ("HICIM," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use our services.

2. Services Description

HICIM provides human inclusion consultancy services, including but not limited to:

  • Organisational culture transformation consulting
  • Inclusion strategy development and implementation
  • Analytics and data-informed inclusion solutions
  • Learning solutions including workshops, webinars, and e-learning
  • Change readiness assessments
  • Inclusion action planning

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Use of Services

3.1 Permitted Use

You may use our services solely for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our services in any way that violates any applicable law or regulation
  • Infringe upon or violate our intellectual property rights or the rights of others
  • Transmit any harmful, offensive, or inappropriate content
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems or data

3.2 Account Responsibility

If you create an account or provide information to access our services, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Intellectual Property

All content, materials, methodologies, tools, and intellectual property provided by HICIM, including but not limited to our Translate, Transition, and Transform framework, are the exclusive property of HICIM and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our intellectual property without our prior written consent.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for the delivery of our services
  • Cooperate with our consultants and provide timely feedback
  • Respect the confidentiality of our methodologies and proprietary information
  • Comply with all applicable laws and regulations in your use of our services
  • Pay all fees and charges as agreed upon in your service agreement

6. Fees and Payment

Fees for our services will be specified in your service agreement or proposal. Payment terms, including due dates and methods, will be outlined in your specific contract. Late payments may result in suspension of services and may incur additional charges.

All fees are non-refundable unless otherwise specified in your service agreement or required by applicable law.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the course of our engagement. This includes, but is not limited to, business strategies, employee data, organizational information, and our proprietary methodologies.

Confidentiality obligations will survive the termination of our services agreement.

8. Limitation of Liability

To the maximum extent permitted by law, HICIM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless HICIM and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate the service agreement in accordance with the terms specified in your individual contract. We reserve the right to suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms or engage in any conduct we deem harmful to our business or other clients.

11. Dispute Resolution

Any disputes arising from or relating to these Terms or our services shall be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts in the Philippines, unless otherwise specified in your service agreement.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with your specific service agreement, constitute the entire agreement between you and HICIM regarding the use of our services and supersede all prior agreements and understandings.
